Payment clauses: fixed fees and revenue share

The contract definitions that turn a payment model into a clear obligation.

Updated 19 October 2026 · Sources and methodology

Define the payment base

For fixed payments, identify the amount, currency and every condition. For revenue share, define the receipts being shared: invoiced revenue, cash collected or a net figure. List permitted deductions rather than relying on the word net.

Specify the calendar

Name an acceptance deadline, invoice requirements and the payment due date. For a share of future receipts, define reporting periods, remittance timing and treatment of refunds or disputed transactions. Ask what happens when the provider sells a bundle containing several datasets.

Make verification possible

Consider what reports are provided, whether they identify relevant transactions and how errors can be challenged. Discuss audit rights, record retention, related-party sales and the cost of exercising those rights with counsel.

Read recoupment and survival together

An advance may be credited against later payments. Define when recoupment ends and whether future shares continue after termination or a sale of the provider. A promise of ongoing revenue needs operational reporting and enforceable terms.
