Owner questions

Can I license data before selling the business?

A lasting license may affect a later sale or diligence review. Consider transfer restrictions, surviving rights, exclusivity and disclosure obligations with advisers before signing.

The short answer

A lasting license may affect a later sale or diligence review. Consider transfer restrictions, surviving rights, exclusivity and disclosure obligations with advisers before signing.

Check the future transaction

Will a buyer inherit the obligations? Is consent required on a change of control? Does the license restrict use or transfer of the archive?

Document retained rights

Keep the agreement, exclusions, data manifest and ongoing reporting obligations available for future diligence. Do not assume a data license has no effect on company value.

What to record before deciding

Keep the written scope, official provider source, unresolved questions and the person responsible for each check. Treat a marketing claim as a claim until it is reflected in the agreement. A directory entry does not approve the transaction or establish your rights to share the records.

Your next step

See where your company’s data could fit.

  • Begin with a company description, not an export
  • Review systems, retained history and exclusions
  • Compare the terms before sharing records
